Founded in 1978, DÖNKASAN A.Ş. collects waste paper, sorts it by grade and prepares it for recycling into paper and board production.
In 2015, the Kartonsan–Olmuksan International Paper partnership came to an end, and the assets and naming rights of DÖNKASAN remained with Kartonsan.
Dönkasan Dönüşen Kağıt Hammadde Sanayi ve Ticaret A.Ş. (“Dissolved Dönkasan”), a jointly controlled entity in which Kartonsan held a 50% stake, was subjected to a “demerger” by way of full division as of 10 June 2015. As a result of the demerger, Dönkasan Dönüştürülen Atık Kağıt Sanayi ve Ticaret A.Ş. (“Dönkasan”), 100% owned by Kartonsan, was established.
The merger of Dönkasan Dönüştürülen Atık Kağıt Sanayi ve Ticaret Anonim Şirketi — registered with the Istanbul Trade Registry Office under registration number 978882-0, MERSIS number 0311036837000013 and tax identification number 311 036 8370 at the Mecidiyeköy Tax Office — into Kartonsan Karton Sanayi ve Ticaret Anonim Şirketi, its 100% parent company registered with the Istanbul Trade Registry Office under registration number 95869-0, MERSIS number 0526005749100010 and tax identification number 5260057491 at the Large Taxpayers Tax Office, by way of takeover of all its assets, liabilities, rights and obligations as a whole under the “Simplified Merger Procedure”, pursuant to the provisions of Article 155, paragraph 1, subparagraph (a) and Article 156 of the Turkish Commercial Code No. 6102, Articles 19 and 20 of the Corporate Tax Law No. 5520, the Corporate Tax Law General Communiqué Serial No. 1, the Trade Registry Regulation and other applicable legislation, as well as Article 13 of the Capital Markets Board’s Communiqué on Mergers and Demergers No. II-23.2, was registered by the Istanbul Trade Registry Office on 25.12.2024 and announced on page 185 of the Turkish Trade Registry Gazette No. 11237 dated 26.12.2024. As a result of the merger, Dönkasan Dönüştürülen Atık Kağıt Sanayi ve Ticaret Anonim Şirketi was dissolved without liquidation.
